1. Acceptance of Terms

By engaging with Flash Systems, you (“Client”) agree to be bound by the following Terms and Conditions. If you do not accept these terms, please do not proceed with our services.

2. Scope of Services

Flash Systems provides services including, but not limited to:

• Funnel & Website Development
• GoHighLevel CRM Setup
• Automations & Workflows
• Meta & Google Ad Campaign Management
• Lead Tracking Systems
• Onboarding Sequences & Follow-Up Automations
• Strategic Consulting and Retainer Support

All services will be outlined in a formal proposal or invoice before project kickoff.

3. Client Responsibilities

Clients must provide timely access to all required accounts, materials, branding assets, and approvals. This includes but is not limited to:

• Branding guidelines and access to existing website platforms (if applicable)
• Facebook Business Manager and/or Google Ads account access
• CRM login details (if self-managed)
• Timely responses and approvals within 48 hours (required for timeline guarantee)

Failure to provide assets or communication within agreed timelines may result in project delays and voided guarantees.

4. Fees, Payment & Refund Policy

• A non-refundable deposit or setup fee is required before any work begins.
• Remaining fees may be due in milestones, monthly retainers, or upon project completion, as agreed in writing.
• All payments are non-refundable unless stated in a signed Flash Systems Guarantee (see Section 7).
• Failure to pay on time may result in service suspension, account access revocation, or third-party collection action.
• Accepted Payments: Stripe, ACH, or approved bank transfer.
• Late payments incur a 10% monthly late fee.

5. Ad Spend Disclaimer

Client is responsible for all advertising costs (e.g., Meta, Google). Ad budgets are separate from Flash Systems’ service fees. Client agrees to maintain a minimum ad spend of $20/day per platform unless otherwise agreed.

6. Ownership & Licensing

• All funnel designs, automation systems, and CRM structures remain the intellectual property of Flash Systems until paid in full.
• Flash Systems reserves the right to reuse non-client-specific systems and strategies across its client base.
• Clients own any original assets (logos, images, videos) they provide.
• Licensing of GoHighLevel CRM is handled through Flash Systems unless otherwise stated.

7. Flash Systems Guarantee Stack (If Applicable)

Applicable only to packages where guarantee is explicitly included:

• 14-Day Build Guarantee: We’ll deliver your full system within 14 business days of onboarding and asset submission, or your setup fee will be refunded.
• 30-Day Lead Guarantee (Growth Tier & Up): If we don’t generate 15+ qualified leads within the first 30 days of live campaign launch, we’ll work for free until we do or refund your setup fee.

Guarantee Conditions:

• Client must approve assets within 48 hours
• Minimum daily ad spend of $20
• No changes made to campaigns or CRM without notice
• Guarantee begins once all assets are approved and campaigns go live

8. Cancellation & Termination

Clients may cancel services with 7 days written notice. Flash Systems may terminate services at any time for misuse, breach of terms, or non-payment.

No refunds will be issued for services already rendered or in progress.

9. No Guarantee of Results

While Flash Systems uses proven strategies and best practices, we do not guarantee specific financial results. Marketing and ad performance are influenced by many external factors beyond our control.

10. Limitation of Liability

Flash Systems shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services, even if we have been advised of the possibility of such damages.

11. Confidentiality

All proprietary client data, credentials, and marketing strategies will be kept confidential and used solely for the purpose of service delivery.

12. Changes to Terms

Flash Systems may update these Terms at any time. Updated versions will be posted on our website. Continued use of services constitutes acceptance of the revised terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions.
